Your opportunity

 

This role is likely to suit someone who is a qualified Company Secretary with a long-term wish to build a career in a professional plc environment and wants to have personal responsibility for complying with the London listing requirements and who wants direct day-to-day contact with the non-executive directors. Good technical, administrative and organisational skills are required and the successful candidate will need to demonstrate enthusiasm and good inter-personal skills and reasonable numeracy. The role requires good oral and written communication skills and the ability to deal confidently and efficiently with client board directors both inside and outside of board meetings. The individual must be sensitive to the individual requirements of their two client boards and be prepared to be a good team player working with colleagues to deliver the most professional service for all client boards.  Diligent Boardbooks is used by most directors of the client boards.

 

Duties and responsibilities

 

You will:

 

  • Act, on behalf of Janus Henderson Secretarial Services UK Limited, as the appointed Company Secretary to nominated investment trust companies, duties include but are not limited to:
    • attending board and board committee meetings, taking minutes, producing an action note and implementing decisions as appropriate
    • providing agendas and supporting schedules and reports
    • coordinating the production of the annual report and half-yearly updates to shareholders
    • liaising with the investment, sales, marketing, and accounting departments in order to ensure board reports are produced in a timely fashion to be included in the board pack
    • maintaining statutory records and submitting returns to the Registrar of Companies
    • maintaining risk maps for each investment trust client
    • liaising with and monitoring the services provided by the Registrar and working with the Operations team to monitor the service of the Depositary/Custodian to the investment trusts
    • drafting and approving stock exchange announcements
    • reviewing and monitoring of the website to ensure that the investment trust information provided is correct and up to date. 
  • Dealing with any requests from the Chairman or other directors
  • Ensuring registrations and reporting requirements under FATCA, CRS, AIFMD and Data Protection are up to date and all reporting is made within the correct timelines.
  • Keeping the departmental forward work schedule up to date in regard to the nominated investment trust companies
  • Keep informed about changes to company secretarial practice and ensure investment trusts comply with statutory and other regulatory provisions and liaise with colleagues to ensure best practice
  • Develop a clear understanding of the portfolio, strategy and ambitions of the trusts which you have designated specific responsibility for and to keep the Head of Investment Trusts and the Senior Company Secretary, Investment Trusts abreast of all developments.
  • Act as a client service officer in regard to any board concerns about any aspect of the service provided to the nominated investment trust companies, liaising with the Head of Investment Trusts and facilitating the resolution of any issues arising.
  • Be an effective team player and collaborator by developing good working relationships both internally and externally. 
  • Assistance in the training of the Company Secretarial Assistants to ensure that they understand and follow the correct procedures.
  • Act as an ambassador for Janus Henderson at all times.
  • Carry out additional duties as assigned.

Nice to have skills

 

  • Previous Company Secretarial experience
  • Have an understanding of the Companies Acts 2006, private company secretarial practice and the UK Listing, Prospectus Regulation and Disclosure Guidance & Transparency Rules of the FCA
  • Have a working knowledge/understanding of other relevant regulatory / statutory requirements, for example, GDPR, FATCA, CRS etc.
  • Knowledge of GEMS is useful but not essential
  • Must be a qualified Chartered Secretary/Governance Professional (passed the examinations of The Institute of Chartered Secretaries and Administrators or other UK equivalent qualifications)
  • Experience of Microsoft Office, Excel and Outlook is essential
